Terms of Service

These Terms of Service ("Terms") govern your use of the Orizn AI platform and services operated by Orizn AI Ltd. By accessing our website or using our services, you agree to be bound by these Terms. If you do not accept these Terms, you must discontinue use of our site and services.

Orizn AI Ltd reserves the right to modify these Terms at any time. Changes take effect upon publication. Continued use after changes constitutes acceptance.

Orizn AI provides custom AI agent design, development, and deployment services on a subscription basis. Our services include:

• Custom AI chatbot development
• AI-powered customer service agents
• Lead qualification automation
• Workflow automation
• Client dashboard for monitoring and analytics

To access our services, you must create an account using a valid email address. Connection uses magic link authentication via email — no passwords are required.

You are responsible for:

• Providing accurate registration information
• Maintaining the confidentiality of your email access
• Reporting any unauthorized account access
• Not sharing your account with third parties

Our services are offered on a subscription basis with the following terms:

• Billing cycle: Monthly or annual (annual receives a 20% discount and the one-time setup fee is waived)
• Setup fee: One-time deployment fee for agent configuration
• Payment: Processed securely via Stripe. We accept payments in USD, EUR, CHF, and CAD.
• Renewal: Subscriptions auto-renew unless cancelled
• Cancellation & refunds: Monthly plans can be cancelled at any time via your dashboard; access continues until the end of the current month. Annual plans are prepaid for 12 months and are non-refundable; service runs through the full term with no automatic re-lock beyond it. Setup fees are non-refundable.
• Overage: Additional conversations beyond your plan's included volume are billed at a flat per-conversation rate.
• Scope of managed optimization (included): Your subscription covers ongoing maintenance, knowledge-base updates within your plan's page limit, and tuning of your existing agents and conversational flows, plus a monthly performance review (and a monthly strategy call on Pro and above).
• Out-of-scope changes (add-on): Additional AI agents, additional channels (e.g. WhatsApp, voice), additional integrations (CRM/ERP/API), major conversational redesigns, knowledge-base expansion beyond your plan's limit, and new business use cases are not included and are quoted separately as an add-on or a new deployment.

Each plan includes a monthly conversation limit. If you exceed your limit, additional conversations are billed at the overage rate specified in your plan. We will notify you when you reach 80% and 100% of your quota.

You agree to use our services only for lawful purposes and in compliance with these Terms. You must not:

• Attempt to disrupt or compromise the security of our platform
• Use automated tools, robots, or scrapers on our services
• Impersonate any person or entity
• Submit false or misleading information
• Use our services for any purpose that violates applicable laws
• Attempt to reverse-engineer our AI models or proprietary technology

• Your content: You retain all rights to data and content you provide through our services.
• Our platform: Orizn AI Ltd retains all rights to the platform, AI models, and proprietary technology.
• Custom agents: Agents built for you are licensed for your use during your active subscription. This license is personal, non-exclusive, and non-transferable.

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including PIPEDA (Canada), BC PIPA, and where applicable, Quebec Law 25 and the GDPR. See our Privacy Policy for full details.

Our services are provided "as-is" and "as available" without warranty of any kind. Orizn AI Ltd makes no guarantees regarding uninterrupted or error-free service, the accuracy or reliability of AI-generated results, or fitness for a specific purpose.

To the maximum extent permitted by law, Orizn AI Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of or inability to use our services. Our total liability shall not exceed the amounts paid by you in the preceding 12 months.

These Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada. Any disputes shall be submitted to the exclusive jurisdiction of the courts of British Columbia, Canada.

The parties agree to attempt amicable dispute resolution before initiating any legal proceedings.
